 |
- Participation in the Business Rewards Program is limited to eligible companies.
- To qualify for participation a company must not have or be subject to a Corporate Travel Agreement with Copa Airlines or Aero República and have at least 5 employees.
- Travel agencies, wholesalers, consolidators, and other sellers of travel are not eligible for the Business Rewards program.
- This Program may not be available in all cities served by Copa Airlines or Aero República. Copa Airlines or Aero República reserves the right to determine the eligibility of a Company.
- In order to participate in the Program, Company must provide names of all of its business traveling employees, as well as their OnePass® numbers, when available. In case they are not OnePass members, they must enroll.
- Company is responsible for complying with, and ensuring that its employees comply with, all terms and conditions of and participation in the Program.
- Copa Airlines or Aero República has the right to change any aspect of the Program at any time with or without notice. This right includes, but is not limited to, changes in the rules for earning program points and point redemption levels, rules for use of rewards, cities served, flight schedules, limited seating or space availability, restricted travel dates and specific features of promotional offers.
- It is a requirement that the Authorized Representative be an active employee of the Company. The Authorized Representative is the only individual that is authorized to receive redeemed awards and posted statement messages.
- In case there is an Authorized Representative replacement, the Company must make all the changes in the information registered in the system.
- Copa Airlines and Aerorepublica requires the members and traveling employees of the company to be 18 years and older.

| Earning Program Points |

- Points are earned for qualifying airline travel by Company's business travelers on flights operated by Copa Airlines or Aero República.
- Qualifying Revenue is defined as actual flown revenue, excluding all taxes, fees, surcharges and refunds. Qualifying revenue only applies to non-discounted fares with a value of $50 or more for Aerorepublica segments and $100 or more for Copa Segments.
- Company will earn:

1 The conversion to the local currency will depend on the rate of the accumulation date. |
- The Company's Qualifying revenue will be tracked by the OnePass numbers of the registered employees.
- The Company's employees must provide their OnePass number when making reservations and checking in for a Copa Airlines or Aero República flight. The company’s employees must check that the OnePass number is correctly introduced in the reservation; otherwise the system will not accumulate the respective points.
- Copa or Aero República is not responsible for misuse of the password sent to the Authorized Representative.
- The Company is responsible for maintaining its profile and the travelers list up-to-date by visiting www.copaair.com or www.aerorepublica.com.
- Points will be credited on a monthly basis and will be available to the account approximately the 4th Thursday of each month.
- In cases where the Company disputes the amount of Qualifying Revenue generated, Copa Airlines or Aero República reserves the right to require proof of travel, including ticket receipts and original boarding passes. The Company must inform Copa or Aero República, in writing, of any dispute of Qualifying Revenue within six months of travel activity. Copa Airlines or Aero República will make the final determination as to whether Business Rewards points will be awarded.
- Points earned and rewards redeemed by the Company are separate from, and in addition to, those earned by the individual traveler through the OnePass frequent flyer program.
- Nothing in this Agreement is intended to modify Copa’s or Aero República's ticketing rules and procedures and Copa’s or Aero República's Contract of Carriage and applicable tariffs apply to all tickets issued where Copa Airlines or Aero República is the validating carrier.

| Rewards |

- Points can only be redeemed by the Designated Authorized Representative or by Company's Contact of the Company, as indicated on the Program's on-line Enrollment Form as Company's Contact. The Company may change the Company's Designated Authorized Representative online at www.copaair.com or www.aerorepublica.com. It is a requirement that the Authorized Representative be an active employee of the Company.
- Company may redeem Business Rewards points online at www.copaair.com or www.aerorepublica.com - Business Rewards Account Number and Password are required. These points can be exchanged for tickets or business products.
- When you exchange your points for tickets the system will assign an authorization number that must be used when calling the Copa Airlines or Aero República Call Center or Copa Airlines or AeroRepublica Ticket Counters for issuing your tickets. This authorization number must be used within the 3 months after the system assigns it, otherwise it will be canceled and the Company will loose the points.
- Copa Airlines or Aero República will fullfill redemption of rewards within 14 business days.
- Travel Rewards will be issued to Company to distribute at its discretion in accordance with the terms and conditions of this Agreement. Ticketing/redemption instructions will be set forth on the reward.
- Terms and conditions for use of Rewards are specified on the Reward Certificate/Document. These terms and conditions include, and are not limited to, validity dates, blackout dates, capacity controls, or applicable fees and surcharges.
- Rewards may not be combined or used with any other rewards such as OnePass, air travel certificates, discount coupons, premium offers or certain promotion fares.
- Rewards or points may not be sold, bartered, or purchased. Rewards obtained in this manner will be voided. If a person other than the person named on the reward attempts to use the reward, it will be voided and travel will be denied. Altered rewards will also be voided. Rewards deemed void will be confiscated and the points forfeited by Company. At the discretion of Copa or Aero República, actions which result in a void reward may lead to termination of Company's membership or forfeiture of all points.
- Lost, stolen, destroyed, expired or unused rewards will not be replaced or credited to Company's account.
- Business Rewards Points have indefinite validity. Copa Airlines or Aero República reserves the right to, at anytime, limits the validity of the points earned.
- All tax liability associated with the receipt and use of Business Rewards is the responsibility of Company.
- The reward tickets can not be transferred endorsed or refunded and can not be subject to any exchange transactions.
- Cash is an accepted form of payment for taxes in Reward Tickets only at Ticket Counters. Payments through Call Center can only be done with Credit Card.

| Termination of Agreement |

- Copa Airlines or Aero República reserves the right to discontinue the Business Rewards program with 90 days notice to Company.
- Should the Program be terminated, Company's right to accrue points and redeem rewards will be terminated 90 days after notice is given.
- Failure to follow Program Rules or Copa’s or Aero República's Contract of Carriage and tariffs, abuse of Program privileges, or misrepresentation of any information provided to Copa Airlines or Aero República by the Company or its employees may result in termination of the Company's eligibility and participation in the Program and forfeiture of all rewards or points earned.
- If for a period of 18 consecutive months, Company has not made any Qualifying Purchases, Copa Airlines or Aero República will terminate Company's membership in the Business Rewards program. It is the Company's responsibility to claim any reward for which they qualify. The Company will have 12 months from the termination date to redeem any points earned. After such date any unclaimed points will be forfeited.
- If the Company already has a Corporate Agreement with Copa Airlines or Aero República, it will not be elligible for the Business Rewards program. If you register for Business Rewards your Business Rewards contract will be cancelled and any points will be forfeited.
- If the Company has accepted and signed a Corporate Travel Agreement with Copa Airlines or Aero República, the Company will no longer qualify for the Business Rewards program. Copa Airlines or Aero República will terminate the Company's participation. The Company will have 12 months from the termination date to redeem any points earned. After such date any unclaimed points will be forfeited.

| Miscellaneous |

- Audit: Copa or Aero República will ask the company to provide documented verification of employment of traveling employees.
- Entire Agreement, Waivers and Amendments: This Agreement constitutes the entire understanding of the parties with respect to the subject matter hereof superseding all prior discussions and agreements, written or oral. This Agreement may not be amended, nor may any of its provisions be waived, except in writing and signed by the parties hereto. No delay on the part of any party in exercising any right, power or privilege hereunder shall operate as a waiver thereof, nor shall any waiver operate as a continuing waiver of any right, power or privilege.
- Notices: All notices given hereunder shall be in writing delivered by electronic mail, to the parties at the addresses indicated on the enrollment form.
- Password: Company agrees that it is responsible for safeguarding the Company’s Password. Company understands that by disclosing such Password to anyone, it is giving that person the authority to perform all transactions relating to its Business Rewards account, including award redemptions, until Company revokes that authority by changing its Password.
- Successors and Assigns: No party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, and any such purported assignment or delegation shall be void. This Agreement shall be binding on the lawful successors of each party.
- Severability: Any provision of this Agreement which is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.
- Advertising: Company may not use Copa’s or Aero República's name or Business Rewards in any public advertising.
- Changes: Company is responsible for notifying Copa Airlines or Aero República of any changes of: Authorized Representative, Company's e-mail address, telephone number, mailing address or facsimile number. Changes may be processed online at www.copaair.com or www.aerorepublica.com.
